1. Agreement

These Terms of Service (“Terms”) are a legally binding agreement between you and Live Accomplished LLC, an Alabama limited liability company doing business as Scale Automatically (“we,” “us,” or “our”), located in Birmingham, Jefferson County, Alabama.

By accessing the website, creating an account, starting checkout, completing a purchase, or using any of our software, digital products, or services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the site or purchase our products.

We may update these Terms from time to time. The “Effective” date above will change when we do. Continued use after an update constitutes acceptance of the revised Terms.

2. Eligibility and age requirement

The site and all products and services are offered only to individuals who are 18 years of age or older. By using the site or completing a purchase, you represent that you are at least 18 years old and have the legal capacity to enter this agreement.

If you use the site on behalf of a company, you represent that you have authority to bind that company, and “you” includes that company.

3. Software, SaaS, and digital products

We provide software-as-a-service, hosted tools, digital diagnostics (including the Scale OS Revenue Leak Audit), related content, and, from time to time, professional or implementation services under the Scale Automatically brand.

Unless we expressly transfer ownership in a signed writing, you receive a limited, non-exclusive, non-transferable, revocable license to access and use the software and digital products for your internal business purposes, subject to these Terms. We do not sell the software itself to you.

Features, availability, and documentation may change. We may modify, suspend, or discontinue any product or feature with or without notice, except where a paid digital product you already purchased requires delivery of that specific deliverable (for example, an Audit report generated from your answers).

4. Accounts and access

Some products require an account or email-based login. You must provide accurate information and keep your login credentials confidential. You are responsible for activity under your account.

We may refuse, suspend, or terminate access if we reasonably believe you have violated these Terms, if payment fails or is charged back improperly, or if we must do so for security or legal reasons.

5. Acceptable use

You may not: reverse engineer, scrape, or overload the services; attempt to bypass security or payment; use the services for unlawful, deceptive, or infringing purposes; upload malware; share login credentials in a way that circumvents per-customer licensing; or use outputs to impersonate us.

You remain responsible for the business information you submit (including Audit answers). You grant us a worldwide, royalty-free license to process that content solely to operate, secure, and improve the products you purchased and to provide related support.

Audit reports and similar outputs are for your internal use. You may share a report inside your company. You may not resell our diagnostics as your own product or misrepresent them as certified financial, legal, or medical advice.

6. Fees and payments

Prices are stated in US dollars unless we specify otherwise. The Scale OS Revenue Leak Audit is a one-time digital purchase at the price displayed at checkout. Other products and services may be one-time fees, subscriptions, or custom quotes.

Payments are processed by Stripe or another payment processor we designate. We do not store full payment card numbers. You authorize us and the processor to charge the payment method you provide, including applicable taxes.

Chargebacks or payment disputes filed instead of using the refund process in these Terms may result in suspension of access while we investigate. If a chargeback is reversed in our favor, we may restore access at our discretion.

7. Refunds

Refunds are available only for the Scale OS Revenue Leak Audit, and only if all of the following are true: (a) you complete the Audit modules; (b) you receive your Audit report; and (c) you request a refund by email to [email protected] within seven (7) days after the report is made available to you (including by email or in-product access).

If we approve an eligible Audit refund, we will refund the Audit purchase price through the original payment method where practicable. Access to the paid Audit experience may be revoked after a refund.

All other products and services—including but not limited to Scale OS implementation, other software, subscriptions, custom work, and professional services—are non-refundable unless an offer, order form, or checkout page expressly states a refund or cancellation right for that specific product.

If marketing materials state that the Audit purchase price may be credited toward a Scale OS implementation within a stated period, that credit is not a refund. Unused credits expire as described in the applicable offer and have no cash value except as required by law.

8. Disclaimers

The Audit and related software are diagnostic and educational tools. They do not constitute legal, tax, accounting, investment, or medical advice. Results depend on the accuracy of your inputs and on how you implement recommendations.

We do not guarantee increased revenue, leads, rankings, or any particular business outcome. Testimonials or case examples, if any, are illustrative and not promises of similar results.

EXCEPT WHERE PROHIBITED BY LAW, THE SITE, SOFTWARE, AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. We do not warrant uninterrupted or error-free operation.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LIVE ACCOMPLISHED LLC AND ITS MEMBERS, OFFICERS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF THESE TERMS OR THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. For the Audit, that amount is the Audit purchase price you paid.

Some jurisdictions do not allow certain limitations. In those cases, our liability is limited to the fullest extent permitted by applicable law.

10. Indemnity

You will defend and indemnify us against claims, damages, and reasonable expenses arising from your content, your use of the services in violation of these Terms, or your violation of law or third-party rights.

11. Intellectual property

The site, software, branding, questionnaires, scoring models, and documentation are owned by Live Accomplished LLC or its licensors. Except for the limited license in Section 3, no rights are granted.

Feedback you send us may be used without obligation to you.

12. Termination

You may stop using the services at any time. Provisions that by their nature should survive (including payment obligations already incurred, refund limitations, disclaimers, limitation of liability, indemnity, and governing law) will survive termination.

13. Governing law and venue

These Terms are governed by the laws of the State of Alabama, without regard to conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in Jefferson County, Alabama (Birmingham). You consent to personal jurisdiction there.

If a provision is unenforceable, the remainder stays in effect. These Terms are the entire agreement regarding the site and services, and supersede prior informal discussions on the same subject, except for a signed order form that expressly overrides a named section.
